Developer Terms
Last updated: October 10, 2026
These Developer Terms are the agreement for building on the NoClick Platform. Each section opens with a short summary in italics; the summaries help you read the terms and aren't part of them.
1. What these terms cover
In short: these terms apply when you use NoClick's developer platform, on top of NoClick's Terms of Service and Privacy Policy.
These Developer Terms are an agreement between NoClick, Inc., a Delaware corporation ("NoClick", "we", "us"), and the person or organization that uses the developer platform ("you"). The developer platform is NoClick's API at https://api.noclick.com, the noclick software development kits, the command-line tool, the MCP server at https://mcp.noclick.com, the developer console, the developer documentation, and everything you create or control through them (together, the "Platform").
These terms add to NoClick's Terms of Service and Privacy Policy, which also apply to your use of the Platform. Where they conflict on anything about the Platform, these Developer Terms win. In particular, the Platform is built to be used by code, scripts, agents and AI clients, so the Terms of Service's restrictions on automated tools don't apply to using it as its documentation describes, and you may use the Platform to build and run your own commercial products. The Acceptable Use Policy is part of these terms.
You accept these terms by creating a Platform API key, approving a sign-in for the command-line tool, connecting an AI client to the Platform's MCP server, or otherwise using the Platform. If you accept for an organization, you confirm you're authorized to bind it, and "you" means that organization. You must be at least 18. The Platform is for building and running products for businesses and their customers, not for personal, family or household use.
The SDKs are published under the Apache License 2.0. That licence covers the SDK code only; using the Platform through them is governed by these terms.
2. Words used in these terms
In short: the defined terms, so the rest reads plainly.
- Your users are the people and companies your product acts for on the Platform. In the API each is a "user", named by your own id for it. Your users are your customers, not NoClick's.
- Resources are what you create through the Platform: users, connections, agents, sandboxes, phone numbers, inboxes, storage and anything else the API creates.
- Vendors are the companies whose services NoClick uses to run the Platform and your resources, such as cloud hosts, AI model providers, telephone carriers, email services and payment processors.
- Vendor rate is the price a vendor publishes for a service NoClick uses to run a resource, at the time it's used.
- Your content is everything you, your users or your agents send to, store in or create on the Platform, including files, messages, call audio and transcripts, prompts and outputs.
3. Your account, plan and API keys
In short: you keep your keys secret, and you're responsible for everything done with them.
3.1 Plan. Platform API keys are available on every NoClick plan. Some features need a paid plan or funds in your balance, as the documentation and the pricing page say. What each plan includes is on the pricing page.
3.2 Keys. A secret key acts for your account with the scopes you give it. Keep secret keys on your servers. Never put one in a web page, a mobile app, a public repository or a prompt. For code that runs in a browser, use a session or a publishable key, which can call only what you allow it. Give the scopes that read secrets only to the code that needs them.
3.3 Everything done with your keys is yours. You're responsible for every call made with your keys, sessions, publishable keys and MCP connections, whether you made it, your code did, an agent or AI client you connected did, or someone who took your key did, and for the charges they incur.
3.4 If a key leaks. Revoke it in the developer console at once and tell us at support@noclick.com. We may revoke a key we believe is exposed or misused, and we'll tell you when we do.
3.5 MCP clients and AI tools. An AI client you connect to the MCP server acts with the access you grant it, inside the limits the server applies (some calls, such as purchases and deletions, wait for your approval or are refused). You remain responsible for what it does.
3.6 Limits. Stay within the rate limits, quotas and other limits in the documentation, and don't try to get around them.
3.7 Account details and notices. Keep your account's name, email and billing details current. We send notices about your account, charges, suspensions and these terms to your account owner's email address, and a notice is given when we send it there.
4. Your users
In short: your users are your customers; you're responsible for them, for what your product tells them, and for having their permission for what NoClick does for them.
4.1 Your relationship with them. We provide the Platform to you, not to your users. You decide what your users can do, what you charge them and how you support them. Unless a resource's own terms say otherwise, NoClick has no contract with your users and owes them nothing directly.
4.2 Your terms and notices. Your own terms and privacy policy must allow everything you do for your users through the Platform. They must tell your users that their data is processed by service providers like NoClick, and you must get any consent the law requires for that processing, for recording or transcribing calls, for contacting people, and for acting in your users' accounts.
4.3 When NoClick contacts people for you. Some features have NoClick email or call people, or show them pages, for you or for your agents: for example, a link to connect an account, a question or approval page, an agent's email or phone call, and, where those features are offered, sign-in links, verification emails and automatic replies to texts. NoClick sends these only for you and never uses them to market NoClick. You confirm you have the right to have NoClick contact each person you direct these to, and that any brand, name and wording you supply is truthful and yours to use.
4.4 What your users do is on you. Your users' use of your product is your use of the Platform. You must stop any of your users who breaks the Acceptable Use Policy. You can suspend a user, pause their spending or cap what they spend; we may do the same if you don't.
4.5 Money with your users. NoClick bills only you, never your users. If you charge your users, you're responsible for your prices, your billing, your refunds and any consumer protection rules that apply to what you sell them.
5. Agents and actions taken for you
In short: agents act on your instructions, can make mistakes, and their actions are yours.
5.1 Agents act for you. Agents, workflows, toolkits and the other automated features of the Platform act on your instructions, with the tools, connections, numbers and inboxes you give them. What they do (send email, place calls, buy things, change data in connected accounts, run code) is done for you, as if you had done it.
5.2 Agents make mistakes. AI output can be wrong, incomplete or unexpected, and a model can be misled by what it reads (a web page, an email, a caller). Use the controls the Platform gives you, such as policies, approvals, spend caps, network limits and test runs, in proportion to what an agent can do. Don't let an agent take an action that can't be undone, or that has a legal or financial effect on a person, without the review that action needs.
5.3 Connected accounts. When you or your users connect an account (a Gmail, a Stripe, a Slack), NoClick stores its credentials encrypted and acts in that account only as your agents and code direct. You're responsible for using each connected account within its provider's terms.
6. Fees and billing
In short: every service is charged at its vendor's price with nothing added, paid first from what your plan includes and then from your balance; your plan's fee is charged only when you add funds.
6.1 What you pay. You pay your plan's price, if it has one, and for the usage your account incurs, at the prices the documentation, the developer console and the pricing page show when the usage happens. When you add funds to your balance, you also pay your plan's fee on them (section 6.4). The API reports what each thing costs as you go.
6.2 Usage at the vendor rate. Every service is charged at the vendor rate for the service we use to provide it, with no markup. Where a vendor doesn't publish a rate for exactly what you use, the documentation says which of its rates the price follows. This describes how we arrive at our prices; it isn't a statement of our costs. We may pay a vendor more or less than its published rate (because of discounts, commitments, free allowances, taxes or currency), and we don't disclose what we pay. The price that applies is the one shown for the item when it's used.
6.3 Included usage and your balance. Usage is charged in US dollars, as it happens. It's paid first from the usage your plan includes, as the pricing page shows; included usage that isn't used doesn't carry over. The rest is paid from your balance: the funds you've added, less what they've paid for. Funds don't expire. They're a prepayment for NoClick's services only: they have no cash value, can't be transferred or paid out, and are refundable only as section 6.11 says. Monthly items, such as phone numbers, are charged for each period as it starts. Some things are charged only when they succeed, as the documentation says.
6.4 Your plan's fee on funds. NoClick's fee is a percentage of the funds you add to your balance: 15% on the Free plan and 5% on the Member plan. It's charged with the funds, as its own line on the payment, and your balance gets the full amount you add: adding $25 costs $28.75 on Free and $26.25 on Member. The fee applies to every payment that adds funds, including automatic top-ups, at your plan's rate when the payment is made. It's charged only on funds you add: not on usage, and not on your plan's own price. An account still on one of NoClick's earlier plans (such as Plus or Pro) keeps that plan's included usage and monthly top-ups, and pays no fee on funds, until it moves to Free or Member.
6.5 Automatic top-up. If you turn on automatic top-up, you authorize NoClick to charge the payment method you saved for it, without asking each time, the amount you chose plus your plan's fee whenever your balance falls below the level you set, up to the monthly limit you set (which counts the funds added, not the fee). If a top-up is declined, we may try it again; if it keeps failing, or the payment method can no longer be charged, automatic top-up is paused or turned off and we tell you. You can lower it or turn it off at any time in your billing settings. In rupees it runs on a UPI AutoPay mandate, under which you're notified before each charge.
6.6 Currency. Prices, charges and your balance are in US dollars. Where we offer it, you can pay in Indian rupees instead: funds and their fee are converted at a fixed rate of ₹100 per US dollar (adding $25 on Free costs ₹2,875), a plan's price is shown in rupees before you pay, and a refund of a rupee payment is made in rupees.
6.7 When your balance runs short. A call whose cost your included usage and balance can't cover fails with payment_required and does nothing. Work already under way when they run out can take your balance below zero; that amount is owed, and it comes out of the next funds you add. Recurring items you already hold follow their documentation: a monthly item that can't be paid when its period starts gets a short grace period and is then stopped or released (a phone number, for example, is released 48 hours after its renewal fails). We email your account owner when that starts.
6.8 Ceilings and caps. A purchase that takes a price ceiling never charges above it. Spend caps on keys, users and agents stop new work once they're reached. Caps are checked before work starts, so the call that crosses a cap still finishes and is charged.
6.9 Your own keys. When you bring your own model key or subscription, its provider bills you directly and NoClick doesn't charge for those model calls. NoClick still charges for the sandbox or other compute your agent runs on.
6.10 Taxes. Prices, fees and funds exclude taxes unless we say otherwise. You pay any sales, use, value-added, goods and services or similar taxes on what you buy from us, other than taxes on NoClick's income, and we may add to a payment any such tax we're required to collect.
6.11 Refunds. If you ask within 30 days of a payment that added funds, we'll refund the funds it added, up to what your balance still holds, with the same share of the fee you paid on them, so refunding all of a payment's funds refunds all of its fee. A refund goes back to the payment method you paid with, and the refunded funds come out of your balance. Other fees and charges, including plan payments, are non-refundable, except where these terms or the documentation say otherwise (for example, a purchase that fails isn't charged), where the law requires a refund, or where we end these terms without cause (section 11).
6.12 Disputed charges. Tell us at support@noclick.com within 60 days of a charge you think is wrong. Please contact us before disputing a payment with your bank. If you dispute a payment that added funds, the funds it added are taken back out of your balance, in proportion to the amount disputed, while the dispute is open (which can take your balance below zero), and automatic top-up is turned off; if the dispute is decided in our favour, they're put back. A chargeback may also suspend your account until it's resolved.
6.13 Price changes. Vendors change their rates and our prices follow them, so usage is charged at the price in effect when it happens. A monthly item keeps the monthly price it had when you got it for as long as you hold it, and a domain renews at its registrar's price at the time of the renewal. We'll give you at least 30 days' notice before we raise a plan's price or its fee on funds, or reduce the usage a plan includes.
7. Vendors and additional terms
In short: your resources run on vendors, some of whose rules also bind you, and some features come with their own terms.
7.1 NoClick chooses the vendors. We pick the vendors that run each resource and may change them. We're responsible for the Platform we provide to you, but not for a vendor's own outage, refusal or policy beyond what these terms say.
7.2 Vendor rules that reach you. Some vendors require their rules to reach the people who use their services through us. Using a resource means following:
- the usage policies of the providers of the AI models your agents use;
- telecommunications law and the carriers' rules, for phone numbers, calls and texts;
- the acceptable use rules of the infrastructure that runs your code, which the Acceptable Use Policy sums up; and
- for a phone number or other account you connect from your own provider, that provider's terms, which stay between you and it.
7.3 When a vendor or an authority acts. If a vendor, carrier, registry, regulator, court or law enforcement agency requires us to suspend, change or remove a resource, we may do so without the notice section 10 otherwise gives, and we'll tell you what happened and why as far as we're allowed.
7.4 Additional terms. Some resources, and paid features we add in the future, come with their own terms, which you (and, where they say so, your users) must accept before using them. We'll show them where you'd use the feature, and they apply to it alongside these terms.
8. Your content and your users' data
In short: your content is yours; we process it to run the Platform on your instructions, we don't sell it, and we don't train AI models on it.
8.1 Ownership. You and your users own your content. You give NoClick the rights it needs to host, process, transmit and display your content to provide, secure and support the Platform, to bill you and to meet its legal duties. We use it for nothing else.
8.2 Roles. For personal data in your content, you (or your user) decide why and how it's processed, and NoClick processes it for you, as your processor or service provider. The Data Processing Terms in the Terms of Service apply, and your API calls, console settings and agent configuration are your instructions. Where a vendor needs data for its own legal duties (a carrier registering a business for texting, for example), it receives that data under its own terms.
8.3 International transfers. NoClick runs and keeps its records in the United States. Where data protection law requires a transfer mechanism for personal data sent to us from elsewhere, such as from the European Economic Area, the United Kingdom or Switzerland, the European Commission's Standard Contractual Clauses (and the United Kingdom's addendum to them) apply between you and us; write to privacy@noclick.com for a signed copy.
8.4 What the Platform holds. Depending on what you use: your users' ids and contact details, connected-account credentials (encrypted), agent conversations, operations and tool-call records, files and stored data, call recordings and transcripts, emails and texts, and request logs.
8.5 Where it's kept. NoClick's own service and records, including every conversation's history, every operation and the activity log, are kept in the eastern United States. Choosing a region for a resource decides where its work runs and, for some resources, where its data rests, as the documentation on regions explains.
8.6 No selling, no training. We don't sell your content or your users' data, use it for advertising, or use it to train AI models. When an agent or your code calls an AI model, the model's provider processes that request to answer it, under its terms for API customers.
8.7 Your duties. You must have a lawful basis, and give the notices the law requires, for all personal data you put on the Platform or have your agents collect. Unless we've agreed otherwise in writing, don't put on the Platform protected health information covered by HIPAA (we don't sign business associate agreements), personal data of children under 13, or payment card numbers and other cardholder data, and don't direct a product built on the Platform at children under 13. Don't give an agent access to more data than its job needs.
8.8 Subprocessors. We use vendors to run the Platform: cloud hosting and compute, databases and storage, AI model providers, telephone carriers, email delivery, payments, security, monitoring and analytics. NoClick's affiliates, including NoClick App Private Limited in India, may help provide and support the Platform, under the same obligations. The current list of named subprocessors is available from privacy@noclick.com. If you ask to be told about changes, we'll tell you before a new subprocessor starts processing personal data in your content, and you may object on reasonable data protection grounds by ending your use of the service it affects.
8.9 Retention and deletion. Activity records (the request log, events and tool-call records) are kept for 30 to 90 days. Other content stays until it's deleted, by you, by your users, or when it expires as the documentation describes (queue messages, for example). Deleting a user or a resource removes it from the Platform's API at once. To have personal data erased from our systems entirely (for example, to answer a person's erasure request), write to privacy@noclick.com and we'll erase it within 30 days, except what the law requires us to keep. Backups age out on their providers' rolling schedules.
8.10 Export. You can export a user's data, or a single resource's, in standard formats at no charge, as the documentation describes.
8.11 Requests and incidents. If one of your users asks us about their data, we'll refer them to you and help you answer. We'll tell you without undue delay after we confirm a security incident affecting your content, and we handle legal demands for your content as the Privacy Policy describes.
9. Security
In short: we protect the Platform; you protect your keys, your code and how you use it.
We encrypt connected-account credentials, keep each customer's work separate from other customers', and limit what agents and code can reach on the network as you configure. You're responsible for your keys, your code, the access you give agents and AI clients, and the systems you connect.
Report a security problem in the Platform to support@noclick.com with "Security report" in the subject. Don't test the Platform's security beyond your own resources without our written permission.
10. Suspension
In short: we may suspend what's causing a problem, as narrowly as we can, and we tell you why.
10.1 How narrowly. We suspend the smallest thing that stops the problem: a key, a user, an agent, a single resource, a feature, or, only if needed, your whole account.
10.2 Without notice. We may suspend at once, and tell you afterwards, when:
- the Platform, our vendors or other customers face a security risk or an attack from your account;
- your use, or your users' use, is illegal, breaks the Acceptable Use Policy in a way that harms others, or puts NoClick at legal risk;
- a vendor, carrier, registry, regulator, court or law enforcement agency requires it;
- we see fraud, a stolen payment method or a chargeback; or
- sanctions or export control law requires it.
10.3 After notice. For other breaches of these terms, and for unpaid amounts, we'll email your account owner, say what's wrong and give you 7 days to fix it before we suspend.
10.4 Automatic limits aren't suspensions. Some protections act on their own, as each resource's documentation describes: email sending pauses when too many messages bounce or are marked as spam, a spend cap stops new work, and an unpaid recurring item stops. These don't suspend your account.
10.5 While suspended. Your content stays in place unless the reason requires removing it, and resources you hold keep their recurring charges unless we say otherwise. Whatever the reason, we'll help your users move a phone number or other identifier they hold through your product to another provider, through support@noclick.com.
10.6 If you disagree. Write to support@noclick.com. We'll review the decision and answer.
11. Ending these terms
In short: you can leave whenever you like; we can end the Platform for you with notice, or at once for serious breaches.
You can stop using the Platform at any time by deleting your resources and keys and cancelling your plan; recurring charges stop when each resource is deleted or released. We may end these terms for any reason with 30 days' notice, or at once for a breach that allows suspension without notice. If we end them without cause, we'll refund what you prepaid for your plan for the time after they end and, if you ask, the funds your balance still holds, with the same share of the fee you paid on them.
When these terms end, your keys stop working; you have 30 days to export your content, after which we delete it from our active systems within a further 60 days, except what the law requires us to keep; we'll help move phone numbers and other identifiers your users hold to another provider on request; and amounts you owe stay payable. Sections 6, 8, 13, 14 and 15 continue after the end.
12. Designed features, previews and changes
In short: some features are marked as designed or in preview, and the Platform and these terms change over time.
The documentation marks some features "Designed, not built yet". A call to one answers not_available until it's enabled. Features in preview may change or be withdrawn and come with no commitment about availability or support. We change the Platform over time, and we'll give reasonable notice before removing something you rely on, except where a vendor, the law or security requires a faster change.
We may update these terms. We'll email your account owner at least 30 days before a material change takes effect, except for changes the law or a vendor requires, which take effect when required. Each version carries its date at the top of this page. If you keep using the Platform after a change takes effect, you accept it.
13. Your promises and indemnity
In short: you promise lawful use and the rights to what you put on the Platform, and you cover us for claims that come from your product.
13.1 Your promises. You promise that you have the rights to your content and to everything you ask the Platform to do with it; that your use and your users' use follow the law, these terms and the Acceptable Use Policy; that the information you give us and our vendors (account details, and business details for features that need them) is true; and that you, your company and its owners aren't on a sanctions list or in a sanctioned country.
13.2 Our promise. We'll provide the Platform with reasonable skill and care, as its documentation describes.
13.3 Indemnity. You'll defend NoClick, and pay the costs, damages and fees awarded against it or agreed in a settlement you approve, for any third-party claim arising from your content, your product, your users' use of the Platform, calls placed and messages sent for you, purchases made for you, or your breach of these terms. We'll tell you promptly about a claim and let you control its defense, but you may not settle it in a way that admits fault for NoClick or binds it without our consent.
14. Disclaimers and limits of liability
In short: the Terms of Service's disclaimers and liability cap apply to the Platform, with a few additions.
The Disclaimer of Warranties and Limitation of Liability in the Terms of Service apply to the Platform. In addition:
- We don't promise that AI output is accurate or complete, that an agent will do what you intended, that a vendor will accept a request (a carrier, a registry, a merchant), or that a website will let an agent in.
- Our total liability for the Platform is limited as the Terms of Service limit it: to what you paid NoClick, including for usage, in the twelve months before the event giving rise to the claim.
- These limits don't limit what you owe us for the Platform or under section 13.
15. General
In short: California law, Santa Clara County courts, and how to reach us.
These terms are governed by the laws of the State of California, excluding its conflict-of-laws rules. The state and federal courts in Santa Clara County, California, have exclusive jurisdiction over disputes about them, as the Terms of Service provide.
You may not assign these terms without our written consent; we may assign them to a successor of our business. Neither of us is responsible for a failure caused by events beyond its reasonable control, other than your duty to pay. If a provision can't be enforced, the rest still applies. Not enforcing a provision isn't a waiver of it. These terms, with the documents they refer to, are the whole agreement between us about the Platform.
Notices to you go to your account owner's email address. Notices to us go to legal@noclick.com, with a copy to support@noclick.com.
